REFERRAL INFORMATION

AGREEMENT
By submitting this form the Referring Party agrees to be bound by the following: This Referral Agreement (“Agreement”) is made and entered into on the date of this form submission (“Effective Date”) by and between Road Rebel Global, Inc., a Delaware corporation (“Road Rebel”) and the individual Referral referenced in the submission form (“Referring Party”) (referred to collectively as “the Parties”). Whereas, Road Rebel and Referring Party, intending to be bound, hereby agree as follows: 1. Referrals. Referring Party acknowledges and agrees that Road Rebel provides logistics for the entertainment industry, including housing, ground transportation, air travel and equipment/freight movement. Referring Party may refer prospective clients to Road Rebel in exchange for a referral fee (“Referral”). Referring Party acknowledges that he or she is required to complete the referral form provided by Road Rebel to submit any and all Referrals. 2. Referral Eligibility Requirements. Referring Party further acknowledges and agrees that all of the following requirements must be met in order to be eligible to receive a Referral Fee: (A) The Referral must be for a new client, or an existing client of Road Rebel that has not entered into a contract with Road Rebel within the past six (6) months; (B) The Referral must be the first contact Road Rebel has had with the prospective client relating to the current opportunity; (C) Road Rebel must subsequently enter into a contract with the prospective client; and (D) Road Rebel must complete the contract with the prospective client. In the event Road Rebel receives more than one Referral for the same prospective client, the first Referring Party to submit a completed referral form, as determined by Road Rebel in its sole and complete discretion, will be eligible for the Referral Fee. Road Rebel will make reasonable efforts to notify other parties who subsequently refer the same individual or entity that a referral was previously submitted. 3. Referral Fee. Road Rebel will pay Referring Party a one-time Referral Fee that is equal to five (5%) percent of the gross revenue earned by Road Rebel on the contract (“Referral Fee”) within forty-five (45) calendar days after: (A) the satisfactory completion of all of the terms and conditions of this Agreement; and (B) the prospective client’s contract with Road Rebel has been fully funded. A contract is considered fully funded when the client has paid the contract price in full to Road Rebel. Under certain circumstances, Road Rebel may authorize and designate at its sole discretion that a contract is clear for the payment of the Referral Fee before all of the funds have been received by the client. 4. Independent Contractor. Nothing in this Agreement shall be considered to create the relationship of agent, joint venture, partner or employer and employee between the Parties. At all times, Referring Party (including Referring Party’s own employees and agents) will be considered to be an independent contractor, and Road Rebel will not be responsible for any of Referring Party’s expenses, including but not limited to its, insurance, wages, benefits, and taxes, which in any way relate to its personnel (whether employees, agents, contractors, or other representatives). Neither this Agreement, nor any of the services contemplated herein, are intended to or shall create a fiduciary relationship between Road Rebel and Referring Party. 5. Tax Obligation. Referring Party shall be solely responsible for its own tax obligations arising from the payment of the Referral Fee. Referring Party shall indemnify and hold Road Rebel harmless from and against any and all liabilities or claims arising from any failure by Referring Party to pay taxes related to the Referral Fee. Road Rebel shall issue an IRS Form 1099 to Referring Party for the Referral Fee paid to Referring Party. 6. Privacy. Referring Party shall not be authorized to conduct any negotiations on behalf of Road Rebel, enter into any contracts with a Referral on Road Rebel’s behalf, make any representation, warranty, promise, or take any other action binding Road Rebel in any manner. It is confirmed and agreed that Road Rebel shall in its sole and complete discretion, determine whether to enter into any service contract with a Referral. 7. Confidential Information. “Confidential Information” shall include any information, whether oral, written or observed, regarding the terms of this Agreement and Road Rebel’s pricing, costs, equipment, operations, finances, current service contracts, and client lists, which may come within the knowledge of Referring Party. Referring Party shall hold Confidential Information in trust and confidence for Road Rebel and shall not disclose such Confidential Information or use it for any purposes other than to perform as required by this Agreement. 8. Attorney’s Fees. In the event either party brings an action to enforce any portion of this Agreement, the prevailing party in such action (whether the party seeking enforcement or the party defending such action for enforcement) shall be entitled to recover its costs and expenses, including reasonable attorney’s fees and court costs, incurred in connection with the action. 9. Applicable Law. This Agreement is a contract made within the State of California and for all purposes will be governed and construed under and in accordance with the laws of the State of California. 10. Assignability. Referring Party may not assign this Agreement. 11. Counterparts. This Agreement may be executed in one or more counterparts and counterparts signed by Referring Party and Road Rebel in the aggregate will constitute a single original instrument. 12. Entire Agreement. This Agreement constitutes the entire agreement of the Parties and supersedes and cancels any and all previous agreements, understandings or negotiations, whether oral or written, between the Parties relating to the subject matter of this Agreement. This Agreement may only be amended or extended by a written agreement executed by the Parties hereto.
